How to Change Private Limited Company’s Name after the Incorporation in India
A private limited company can change any of its details after the incorporation at any time whether it is the directorship or shareholding or registered office address or main object and so on just by following a prescribed procedure for the same. Thus, a private limited company can change its name post incorporation with the approval of company’s shareholders and MCA by following a procedure for name change of company is prescribed under the Companies Act, 2013.
Process to change the name of Private Limited Company
Board Resolution approving name change
The first step is to convene the board meeting to consider the name change resolution and the directors shall pass the Board Resolution to change the company’s name and they will also appoint the authorized signatory to complete the name change process.
Name Application – Form INC-1
The next step is to make an application for name change by filing form INC-1. Subsequently, the concerned ROC shall scrutinize the application and approve or reject the name application. If the ROC will approve it then it shall send a Name approval letter, only then the following steps can be followed.
Special Resolution at EGM for Name Change
As soon as the name is approved, the company is required to convene an Extra-Ordinary General Meeting whereby the shareholders shall consider the name change and thus accordingly pass the Special Resolution for Company’s name change and for the alteration of MOA and AOA with regard to company’s name change.
File required forms and resolutions with the ROC
The next step is that the company shall file the special resolution mentioned in former step before the Registrar of Companies within 30 days from the date of passing of Special Resolution. It shall be filed in the Form MGT-14 along with the following attachments –
- Special Resolution (Certified Copy)
- Notice of EGM ( sent to the shareholders)
- Explanatory statement of EGM
- Altered MOA and AOA with respect to name change
File Form INC-24 with ROC
When the company has filed the Form MGT-14, then the company is required to file the Name Change Form i.e. Form INC-24 and it can be done only after the filing of MGT-14 as it requires the SRN of MGT-14 for filing INC-24. In this form, all the details related to the name change i.e. Primary reasons for changing the company’s name, details of members of company who attended the EGM.
New Incorporation Certificate by ROC
Lastly the ROC shall check the name application thoroughly and if it satisfied with the application then it shall send the new certificate of Incorporation to the company in the new name.
Conclusively, a company’s name can easily be changed when it is approved by the members and directors of the Company.
